Areas of Practice

General Business.
Practice includes the planning and formation of corporations, general and limited partnerships, limited liability companies and limited liability partnerships, attending annual meetings of shareholders and directors, preparing corporate minutes to support tax returns, preparing fringe benefit policies and plans, planning and implementing buy-sell agreements and shareholder agreements.  Also, substantial involvement with tax and business planning, corporate and business financing (venture capital and private lending arrangements), and document preparation for the purchase and sale of assets and corporate stock, including current stock repurchase programs.  Practice also includes counseling and preparation of business contracts.

Mergers and Acquisitions.
Practice includes planning and implementation of tax-deferred and tax free mergers, reorganizations, and recapitalizations.  Firm has been involved in numerous transactions where a public corporation acquires a client’s closely-held business.

Deferred Compensation
.
Practice includes tax planning and preparation of nonqualified deferred compensation programs such as stock option plans, stock bonus plans, phantom stock plans, stock appreciation rights, preferred stock plans, private pension plans, and general planning under Section 83 of the Internal Revenue Code of 1986, as amended.  Practice also includes limited qualified plan tax counseling, as well as planning for Employee Stock Ownership Plans.

Real Estate
.
Practice includes review and preparation of leases, tax planning and implementation of the purchase and sale of real property, including like-kind exchanges and deferred exchanges.

Estate Planning, Probate, and Trust Litigation
.
Practice includes tax planning and implementation of living trusts, wills, testamentary trusts, irrevocable trusts, irrevocable life insurance trusts, qualified personal residence trusts, durable powers of attorney, planning and implementation of agreements for incapacity and Medi-Cal, grantor retained interest trusts, charitable remainder trusts, family limited partnerships, tax planning and implementation of gifts, and use of the unified credit for both estate and gift tax purposes.  Firm has provided estate planning services to clients with net worths ranging from $1,000,000 to $40,000,000.
Practice also includes probate administration and representation.  Firm has provided probate services to clients with probate estates ranging from $500,000 to $36,000,000.
Practice also includes probate and trust litigation, with special emphasis on the reformation of defective trusts.

Tax Representation
.
Practice includes representing clients before the Internal Revenue Service, Franchise Tax Board, Board of Equalization, U.S. Tax Court, and United States District Court.  Representation has included responsible party audits, collection procedures, offers in compromise, wrongful levy actions, tax court petitions and cases, representing taxpayers before the IRS Appeals office, representation of taxpayers during audits, and obtaining private letter rulings and prohibited transaction exemptions.  Firm has represented clients who have been assessed over $2,500,000 in additional taxes by government authorities.

Business Litigation
.
Practice includes representing clients in disputes regarding business arrangements and transactions, unfair trade practices, shareholder/partner disputes, involuntary dissolutions, and contract actions.  Firm has represented clients against major public corporations, such as Chevron USA.


Environmental Litigation
.
Practice includes representing clients in the purchase and sale of contaminated properties, working with governmental agencies regarding remediation and investigation of contaminated properties, and representing clients in lawsuits involving environmental contamination.  Firm has represented clients in multi-party, complex litigation, and has represented clients against environmental lawsuits filed by major public corporations, such as ExxonMobil Corporation.
